1. Agreement Structure and Scope

1.1 Parties and Agreement

These Payment Services Terms and Conditions (the "Payment Terms") govern your relationship with Network Pay LLC ("Network Pay," "we," "us," or "our"), a Montana Limited Liability Company, regarding the provision of fiat payment collection services as an authorized agent of payee.

These Payment Terms supplement and are incorporated into the Master Terms and Conditions for Website and Application Use (the "Master Terms"). Together with our Privacy Policy and other applicable policies, these documents form the complete agreement between you and Network Pay LLC.

1.2 Corporate Relationship

Network Pay LLC is affiliated with:

  • Network Clearing LLC ("Clearing") — a FinCEN-registered Money Services Business providing digital asset payment collection, cross-border settlement, and currency conversion services

While we may coordinate services with our affiliate (the "Affiliate"), we are a separate legal entity. These Payment Terms govern only your relationship with Network Pay LLC.

1.3 Precedence

In the event of any conflict between these Payment Terms and the Master Terms, these Payment Terms shall prevail with respect to payment collection services.

1.4 Service Agreement and Acceptance by Use

By making a payment through Network Pay or utilizing any of our services, you agree to be bound by these Payment Terms, the Master Terms, and all applicable policies and amendments thereto. Your continued use of our services constitutes ongoing acceptance of these terms as they may be amended from time to time.

Acceptance by Use: By accessing, browsing, or using Network Pay LLC's Platform or services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Payment Terms. If you do not agree with any provision of these terms, you must immediately cease all use of our services and Platform.

1.5 Regulatory Status

Network Pay LLC is:

  • Organized under the laws of the State of Montana
  • An authorized agent of payee, collecting payments on behalf of sellers (each a "Principal") pursuant to written agency agreements
  • Exempt from state money transmitter licensing requirements under the agent of payee exclusion recognized in all 50 U.S. states
  • Not a Money Services Business and not registered with FinCEN, as its activities as Agent of Payee do not constitute money transmission

Important Notice: Network Pay LLC is not a bank and does not hold deposits. Network Pay collects payments from customers on behalf of Principals and remits collected funds to Principals per the terms of written agency agreements. Your payment to Network Pay satisfies your payment obligation to the Principal.

1.6 Amendment Rights

We reserve the right to amend these Payment Terms at any time. We will provide notice of material changes through:

  • Email notification to your registered email address
  • Posting on our Platform
  • In-app notifications

Your continued use of our services after the effective date of any amendment constitutes your acceptance of the amended terms.


2. Definitions

For purposes of these Payment Terms:

  • "Agent of Payee" or "AoP" means the relationship established by a written agency agreement between Network Pay and a Principal, whereby Network Pay acts as the Principal's authorized agent for the limited purpose of collecting and processing payments from Payors on the Principal's behalf.
  • "Collected Funds" means payments received by Network Pay from Payors on behalf of a Principal. Collected Funds are the property of the Principal upon receipt by Network Pay.
  • "FBO Account" means a "For Benefit Of" account or segregated account in which Collected Funds are held pending settlement to the Principal.
  • "Net Proceeds" means total Collected Funds, less fees, reserves, chargebacks, refunds, and other authorized deductions.
  • "Payor" means you — the end-user or customer purchasing products or services from a Principal who makes payment through Network Pay.
  • "Platform" means our website, mobile applications, APIs, checkout interfaces, and other technology platforms through which you access our services.
  • "Principal" means the seller of products or services who has appointed Network Pay as its authorized agent of payee for fiat payment collection pursuant to a written agency agreement.
  • "Settlement" means remittance of Net Proceeds from Network Pay to the Principal per the terms of the agency agreement.
  • "Transaction" means any payment made by a Payor through Network Pay on behalf of a Principal.

3. Services Overview

3.1 Agent of Payee Payment Collection

Network Pay LLC provides fiat payment collection services as an authorized agent of payee on behalf of Principals. When you make a purchase from a Principal whose payments are processed by Network Pay:

  • The Principal is the seller of the products/services you are purchasing
  • Network Pay collects your payment as the Principal's authorized agent
  • Your payment to Network Pay satisfies your payment obligation to the Principal
  • Network Pay remits collected funds to the Principal per the agency agreement
  • Network Pay does not sell, resell, or take title to any products or services

3.2 Payment Methods Accepted

Network Pay accepts the following fiat payment methods on behalf of Principals:

  • Credit cards (Visa, Mastercard, American Express, Discover)
  • Debit cards (Visa Debit, Mastercard Debit)
  • ACH bank transfers (for recurring and one-time payments)
  • Wire transfers (domestic)
  • Digital wallets (Apple Pay, Google Pay, and other supported wallets)
  • Other fiat payment methods as made available through our Platform

For stablecoin, digital asset, or cross-border payment methods, payment collection is handled by Network Clearing LLC, an affiliated entity also appointed by the Principal as an agent of payee for digital asset payment methods.

3.3 Connected Checkout

Our connected checkout service provides a unified payment interface for Principals. When you use connected checkout:

  • You enter your payment information through our secure checkout interface
  • Your payment is processed through our authorized payment processors
  • You receive a confirmation identifying the Principal as the merchant of record
  • Your payment to Network Pay constitutes payment to the Principal

3.4 Statement Descriptors

Your credit card or bank statement will show "NTWRK" followed by a merchant code and reference number. If you do not recognize a charge, please contact support@networkpay.us with your transaction details before initiating a chargeback.

3.5 Service Availability

Service availability may vary based on:

  • The Principal's configuration and accepted payment methods
  • Your geographic location and financial institution
  • Payment method restrictions and card network rules
  • Regulatory requirements
  • Technical and operational constraints

We reserve the right to modify, suspend, or discontinue any service at any time, subject to applicable legal requirements.


4. Agent of Payee Relationship

4.1 Nature of the Relationship

Network Pay acts solely as the Principal's authorized agent for the limited purpose of collecting and processing fiat payments. This means:

  • Network Pay is not the seller of any products or services
  • Network Pay does not set prices, control inventory, or manage fulfillment
  • Network Pay does not make representations or warranties about the Principal's products or services
  • Network Pay's sole obligation upon receipt of your payment is to remit funds to the Principal per the agency agreement
  • The Principal bears all commercial risk associated with the transaction (chargebacks, refunds, disputes, fraud, delivery failures)

4.2 Payment Satisfaction

Your payment to Network Pay, as the Principal's authorized payment agent, constitutes complete and final satisfaction of your payment obligation to the Principal in the amount paid.

This means:

  • Once Network Pay receives your payment, your obligation to the Principal is discharged
  • You will not be charged again by the Principal for the same transaction
  • If Network Pay fails to remit funds to the Principal, that is a matter between Network Pay and the Principal — you are not affected
  • This provision is required for compliance with state regulatory frameworks, including New York

4.3 Segregation of Funds

Network Pay holds all Collected Funds in segregated FBO Accounts pending settlement to Principals. Collected Funds:

  • Are the property of the Principal upon receipt
  • Are not assets of Network Pay LLC
  • Are held solely for the Principal's benefit pending settlement
  • Are not commingled with Network Pay's operating funds

4.4 What Network Pay Does Not Do

Network Pay does not:

  • Hold customer deposits or accounts (we are not a bank or financial institution)
  • Provide digital asset, stablecoin, or cryptocurrency services (that is Network Clearing)
  • Provide foreign exchange or currency conversion services
  • Issue prepaid cards or debit cards
  • Provide investment, brokerage, or custody services
  • Provide lending or credit services
  • Transmit money between individuals (we collect payments on behalf of Principals)

5. Transaction Processing

5.1 How Transactions Work

When you make a purchase from a Principal:

  1. You select products/services and proceed to checkout on the Principal's platform
  2. Your payment is routed to Network Pay as the Principal's authorized agent
  3. Network Pay processes your payment through authorized payment processors
  4. Your payment is authorized and collected
  5. Network Pay issues a receipt identifying the Principal as the seller
  6. Network Pay holds funds in a segregated FBO Account
  7. Network Pay settles Net Proceeds to the Principal per the agency agreement
  8. The Principal fulfills your order

5.2 Authorization and Processing

  • Card payments are authorized in real-time through applicable card networks
  • ACH payments are processed through the Automated Clearing House network
  • Wire transfers are processed through applicable banking channels
  • Processing times vary by payment method (see Section 5.3)

5.3 Processing Times

Processing times are estimates and may vary based on financial institution processing, weekends, holidays, and security reviews.

5.4 Transaction Limits

Transactions may be subject to limits based on:

  • Payment method (card networks, ACH limits)
  • Principal-specific configurations
  • Risk assessment and fraud prevention
  • Regulatory requirements

Applicable limits will be disclosed during the checkout process.

5.5 Failed and Declined Transactions

Transactions may be declined or fail due to:

  • Insufficient funds
  • Card issuer decline (fraud suspicion, spending limits, expired card)
  • Incorrect payment information
  • Network or system errors
  • Risk or fraud screening
  • Sanctions or compliance screening

If a transaction fails, you will be notified and no charge will be applied. If a charge was applied in error, it will be reversed.

5.6 Transaction Confirmations

After a successful transaction, you will receive:

  • An on-screen confirmation with transaction details
  • An email receipt identifying the Principal as the seller and Network Pay as the payment agent
  • A transaction reference number for your records

Please retain your confirmation for billing inquiries and dispute resolution.


6. Refunds, Returns, and Cancellations

6.1 Refund Authority

All refund decisions are made by the Principal. Network Pay does not have independent authority to issue refunds. Network Pay processes refunds only upon the Principal's express written authorization.

6.2 Refund Process

If you are entitled to a refund:

  1. Contact the Principal directly for product/service-related refund requests, or contact support@networkpay.us for payment processing questions
  2. The Principal reviews and authorizes (or denies) the refund
  3. Upon the Principal's authorization, Network Pay processes the refund to your original payment method
  4. Refund processing typically takes 5-10 business days after authorization
  5. Your bank or card issuer may take additional time to post the credit

6.3 Refund Limitations

  • Refunds are processed to the original payment method only
  • Partial refunds may be available at the Principal's discretion
  • Currency conversion differences may apply for international transactions
  • Transaction processing fees are generally non-refundable

6.4 Returns

Returns of products or services are governed entirely by the Principal's return policy. Network Pay does not control, manage, or influence return policies. Contact the Principal directly for all return-related inquiries.


7. Chargebacks and Disputes

7.1 Before Filing a Chargeback

We encourage you to contact Network Pay at support@networkpay.us before initiating a chargeback with your bank or card issuer. We can often resolve issues faster than a formal dispute process.

7.2 Chargeback Process

If you file a chargeback with your card issuer:

  1. We receive notification from the card network
  2. We notify the Principal, who determines the response
  3. The Principal provides evidence to contest or accept the chargeback
  4. Network Pay facilitates the documentation process on the Principal's behalf
  5. The card issuer makes a final determination

Chargeback decisions (contest or accept) are made by the Principal. Network Pay facilitates the process but does not make chargeback decisions independently.

7.3 Dispute Resolution

For billing disputes:

  1. Contact support: Email support@networkpay.us with your transaction details
  2. We acknowledge: Receipt within 2 business days
  3. We coordinate: With the Principal to investigate and resolve
  4. Resolution: Status update within 5 business days

7.4 Governing Law for Disputes

These Payment Terms are governed by Montana law. Any disputes not resolved informally shall be subject to binding arbitration in Montana under AAA rules. Each party waives any right to participate in a class action or class-wide arbitration.


8. Your Responsibilities

8.1 Accurate Information

You agree to provide accurate, current, and complete payment information when making a purchase. You are responsible for ensuring your payment method is valid and has sufficient funds.

8.2 Authorization

By completing a transaction, you represent and warrant that:

  • You are authorized to use the payment method provided
  • You have sufficient funds or credit available
  • You are at least 18 years of age (or the age of majority in your jurisdiction)
  • You are not using the payment method fraudulently
  • You are not located in a jurisdiction where our services are prohibited

8.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your payment credentials
  • Monitoring your bank and card statements for unauthorized charges
  • Reporting unauthorized transactions promptly (see Section 8.4)
  • Not sharing payment credentials with unauthorized persons

8.4 Reporting Unauthorized Transactions

If you believe an unauthorized transaction was made through Network Pay:

  • Report immediately to support@networkpay.us and to your bank or card issuer
  • Your liability for unauthorized transactions is governed by federal law (Regulation E for debit, Regulation Z for credit) and your card issuer's policies
  • Prompt reporting minimizes your potential liability

8.5 Prohibited Uses

You may not use Network Pay's services to:

  • Make payments for illegal goods or services
  • Engage in fraud, identity theft, or money laundering
  • Circumvent sanctions or export controls
  • Test payment methods or cards without authorization
  • Exploit system vulnerabilities or engage in unauthorized access
  • Initiate chargebacks fraudulently (friendly fraud)

9. Security and Fraud Prevention

9.1 Payment Security

Network Pay implements industry-standard security measures:

  • PCI-DSS Compliance: We maintain compliance with Payment Card Industry Data Security Standards
  • Encryption: All payment data is encrypted in transit (TLS 1.2+) and at rest
  • Tokenization: Card numbers are tokenized — we do not store full card numbers
  • 3D Secure: We support 3D Secure (Visa Secure, Mastercard Identity Check) for additional cardholder verification
  • Fraud Screening: Automated fraud detection using machine learning and rules-based systems

9.2 Fraud Prevention

We employ multiple layers of fraud prevention:

  • Real-time transaction monitoring
  • Velocity checks (detecting unusual transaction patterns)
  • Address Verification Service (AVS)
  • CVV/CVC verification
  • Device fingerprinting
  • IP geolocation analysis
  • Sanctions and watchlist screening

9.3 Suspicious Activity

We reserve the right to decline, hold, or reverse transactions that we reasonably believe are fraudulent, unauthorized, or in violation of applicable law. We may report suspicious activity to law enforcement or regulatory authorities as required by law.


10. Fees and Charges

10.1 Payor Fees

Network Pay generally does not charge fees directly to Payors (you). The Principal pays transaction processing fees to Network Pay under their agency agreement.

However, you may incur fees from your own financial institution, including:

  • Foreign transaction fees (charged by your bank for cross-border transactions)
  • Cash advance fees (if your card issuer classifies the transaction as a cash advance)
  • Insufficient funds fees (if your payment is declined due to insufficient funds)
  • Wire transfer fees (charged by your bank for outgoing wires)

10.2 Fee Disclosure

If Network Pay charges any service fee directly to you (e.g., convenience fee for certain payment methods), the fee will be disclosed before you complete the transaction and you will have the opportunity to cancel.


11. Privacy and Data

11.1 Information Collection

Network Pay collects and processes payment information necessary to complete your transaction, including:

  • Name and billing address
  • Payment method details (card number, expiration, CVV — tokenized)
  • Transaction details (amount, date, merchant)
  • Device and browser information (for fraud prevention)
  • IP address (for fraud prevention and compliance)

11.2 Use of Information

We use your information to:

  • Process and complete your payment transaction
  • Prevent fraud and unauthorized transactions
  • Comply with legal and regulatory requirements
  • Provide customer support
  • Improve our services

11.3 Sharing of Information

We may share your information with:

  • The Principal: Transaction details necessary for order fulfillment
  • Payment processors and card networks: To process your payment
  • Financial institutions: Your bank or card issuer as needed
  • Fraud prevention services: To detect and prevent fraud
  • Law enforcement and regulators: As required by law or legal process
  • Affiliate: Network Clearing LLC for coordinated service delivery

12. Limitation of Liability

12.1 Agent Role

Network Pay acts solely as the Principal's authorized agent for payment collection. Network Pay is not the seller of, and bears no responsibility for, the goods or services you purchase. This includes:

  • Product or service quality, accuracy, safety, or fitness for purpose
  • Delivery, shipping, or fulfillment
  • Product warranties or guarantees
  • The Principal's compliance with applicable laws
  • The Principal's refund, return, or cancellation policies
  • Any representations made by the Principal about products or services

12.2 Disclaimer of Warranties

NETWORK PAY PROVIDES SERVICES "AS IS" WITHOUT WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETWORK PAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

NETWORK PAY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE PAYMENT TERMS SHALL NOT EXCEED THE AMOUNT OF FEES ACTUALLY PAID BY YOU TO NETWORK PAY (NOT THE PRINCIPAL) IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12.4 Exceptions

The limitations in this Section do not apply to:

  • Claims arising from Network Pay's gross negligence or willful misconduct
  • Claims that cannot be limited by applicable law
  • Your obligations under these Payment Terms

12.5 Force Majeure

Network Pay shall not be liable for delays or failures in performance due to events beyond our reasonable control, including acts of God, war, terrorism, government actions, pandemics, natural disasters, power outages, internet disruptions, or systemic failures of banking or payment networks.


13. Indemnification

You agree to indemnify, defend, and hold harmless Network Pay LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or costs (including reasonable legal fees) arising from:

  • Your violation of these Payment Terms
  • Your use of our services in a fraudulent or unauthorized manner
  • Your violation of any applicable law or regulation
  • Any dispute between you and the Principal regarding products or services

14. Risk Disclosures

14.1 Payment Processing Risks

All payment services involve certain risks:

  • Processing delays: Payments may be delayed due to technical issues, security reviews, or financial institution processing times
  • Authorization failures: Transactions may be declined by your card issuer or bank
  • System outages: Our services may experience temporary interruptions
  • Fraud risk: Despite our security measures, no system is completely immune to fraud

14.2 Principal-Related Risks

Because Network Pay is an agent of the Principal (not the seller):

  • Fulfillment risk: The Principal is responsible for delivering products/services — Network Pay does not guarantee fulfillment
  • Quality risk: Network Pay does not inspect, verify, or warrant the Principal's products/services
  • Refund risk: Refunds are at the Principal's discretion — Network Pay cannot independently issue refunds
  • Principal insolvency: If the Principal becomes insolvent, Network Pay is not responsible for unfulfilled orders (though your payment obligation was satisfied upon payment to Network Pay)

14.3 Not Insurance

Network Pay's services are not insured by the FDIC, SIPC, or any government agency. Network Pay is not a bank and does not hold deposits.


15. Account Restrictions and Service Termination

15.1 Suspension of Services

We may suspend or restrict your access to our services if:

  • We suspect fraudulent or unauthorized activity
  • We receive a chargeback or dispute notification
  • You violate these Payment Terms
  • Required by law, regulation, or court order
  • Required by card network rules

15.2 Termination

We may terminate your ability to use our services at any time for any reason. You may stop using our services at any time.

15.3 Effect of Termination

Termination does not affect:

  • Transactions already completed
  • Your obligation to pay for authorized transactions
  • Our obligation to process pending refunds (upon Principal authorization)
  • Provisions that by their nature survive termination (including Sections 12, 13, 14, and 16)

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Payment Terms shall be governed by and construed in accordance with the laws of the State of Montana, without regard to conflicts of law principles.

16.2 Informal Resolution

Before filing any formal claim, you agree to contact us at support@networkpay.us and attempt to resolve the dispute informally for at least 30 days.

16.3 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Payment Terms or your use of our services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in English, with the seat of arbitration in Montana. The arbitrator's decision shall be final and binding.

16.4 Class Action Waiver

YOU AND NETWORK PAY EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. All claims must be brought in your individual capacity.

16.5 Small Claims Court

Notwithstanding Section 16.3, either party may bring an individual claim in small claims court if the claim qualifies.

16.6 Jurisdiction

For any matters not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Montana.


17. General Provisions

17.1 Entire Agreement

These Payment Terms, together with the Master Terms, Privacy Policy, and other applicable policies, constitute the entire agreement between you and Network Pay LLC regarding the subject matter herein.

17.2 Severability

If any provision of these Payment Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

No waiver of any provision shall constitute a waiver of any other provision or a continuing waiver. Failure to enforce any right shall not constitute waiver of that right.

17.4 Assignment

Network Pay may assign these Payment Terms to any affiliate or successor without your consent. You may not assign your rights or obligations under these Payment Terms.

17.5 No Third-Party Beneficiaries

These Payment Terms do not create any third-party beneficiary rights, except that Principals may enforce provisions relating to the agent of payee relationship.

17.6 Electronic Communications

By using our services, you consent to receiving electronic communications from us (email, Platform notifications). These electronic communications satisfy any legal requirement that communications be in writing.

17.7 Headings

Section headings are for convenience only and do not affect the interpretation of these Payment Terms.


18. Acknowledgment

By clicking "I Agree," making a payment, or using our services, you acknowledge that:

  1. You have read, understood, and agree to be bound by these Payment Terms, the Master Terms, the Privacy Policy, and all other applicable policies.
  2. You understand that Network Pay LLC is the Principal's authorized agent for payment collection, not the seller of products or services.
  3. Your payment to Network Pay satisfies your payment obligation to the Principal.
  4. You understand that refund and return decisions are made by the Principal, not Network Pay.
  5. You consent to electronic communications and to receiving all disclosures, agreements, and notices electronically.
  6. You consent to binding arbitration and waive your right to trial by jury and participation in class actions.
  7. You understand that Network Pay LLC is not a bank, and funds processed through Network Pay are not insured by the FDIC, SIPC, or any other government agency.
